NOTABLE EXPERIENCE (including engagements with previous establishments):

  • Legal counsel advising on the amalgamation of a group entity with and into a public listed company consisting of common directors and majority shareholders. Prepared the Pre-Merger Application for the approval of the Competition Commission of Pakistan, Scheme of Arrangement and Petition for the sanctioning of the scheme by the High Court of Sindh.
  • Part of the team carrying out due diligence of an asset management company having numerous open and closed ended funds and preparing a detailed report covering its corporate and legal status, licenses, immovable properties, pending litigation, material contracts and regulatory approvals.
  • Advised the subsidiary of a multinational grid solutions company on the reconstitution of its entire shareholding and thereafter in relation to the transfer of shares and change in ownership of the power and grid divisions of the subsidiary in Pakistan. 
  • Advising various clients on company secretarial matters including but not limited to filing of statutory forms with the Securities and Exchange Commission of Pakistan, drafting minutes of meetings of the Board of Directors and Annual General Meetings.
  • Reviewed and drafted various finance facilities for running finance for one of the first and largest Independent Power Producer in Pakistan for amounting to over Rs. 23 Billion. 
  • Reviewed and drafted various IT agreements pertaining hardware/ software licensing for client banks.
  • Advised and provided legal opinions on wide range of matters including but not limited to, company and banking laws, outsourcing arrangements, stamp duties as well as providing legal opinions to banks on property documents provided for the purposes of availing finance facilities.
